1) What these terms cover

These Terms govern your purchase and use of the Brand Certificate Generator, Agenda & Event Pack and ROI & Pricing Calculator HubSpot CMS module (the “Module”), obtained via the HubSpot Marketplace. By installing or using the Module, you agree to these Terms.

2) License

  • Grant. We grant you a non-exclusive, non-transferable license to install and use the Module on HubSpot-hosted sites owned by you or your clients for whom you build websites.

  • No resale of the Module. You may not resell, sublicense, or redistribute the Module itself except as part of a finished HubSpot website for a client.

  • Backups. You may create reasonable backups/archives for internal use.

3) Restrictions

You will not: (a) reverse engineer or decompile the Module except to the extent permitted by law; (b) remove copyright or attribution notices; (c) use the Module to violate laws or third-party rights; (d) use the Module outside the HubSpot CMS without our permission.

4) Ownership

The Module is licensed, not sold. We retain all intellectual property rights in and to the Module, except for third-party components that remain under their respective licenses.

5) Compatibility & updates

  • The Module is designed for HubSpot CMS and modern evergreen browsers.

  • We may release updates for security, compatibility, or feature improvements. You are responsible for installing updates in your HubSpot portal.

  • If HubSpot changes platform APIs/behaviors, we will use reasonable efforts to maintain compatibility.

6) Support

  • Channel: email@melvindelrosariocruz.com / HubSpot Developer Slack

  • Hours/Response: Mon–Fri, 9am–5pm, response within 2 business days

  • Scope: Installation, configuration, and bug fixes for the Module as published. Customizations or conflicts caused by third-party code, themes, or custom scripts are out of scope but may be available as paid services.

7) Fees & refunds

Pricing is shown on the Marketplace listing. Payments and refunds are processed according to HubSpot Marketplace policies. Where the Marketplace approves a refund, we will honor it. If you purchased outside the Marketplace (if applicable), our refund window is [30 days] from purchase for undamaged, non-downloaded licenses.

8) Third-party services

The base Module does not require third-party accounts. If you enable optional integrations or embed third-party media, their terms and privacy policies apply.

9) Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE MODULE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE MODULE WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE MODULE IN THE 12 MONTHS PRECEDING THE CLAIM.

11) Indemnification

You agree to indemnify and hold us harmless from claims arising out of your unlawful use of the Module or violation of these Terms.

12) Term & termination

These Terms remain in effect while you use the Module. We may suspend or terminate your license if you materially breach these Terms and fail to cure within 15 days of notice. Upon termination, you must stop using and uninstall the Module.

13) Changes to these Terms

We may update these Terms for legal, security, or product reasons. Continued use after the effective date constitutes acceptance.
